Terms of use
Rules for the SynFi platform.

These terms govern access to SynFi pages, registration, and the deal cabinet on the VirtuOZ platform. By using SynFi you agree to these terms and related policies — including Privacy, Cookies, Disclosures, and Risk disclosure. The contract for a specific deal and the chosen contract form take priority for that deal.

Agreement

Accepting these terms

By accessing or using SynFi (including browsing public pages, registering, or acting in a deal cabinet), you agree to these Terms of Use and the policies linked from this page. If you do not agree, do not use the platform.

  • Business participants. SynFi is for project owners and capital partners after verification — not for retail consumers.
  • Authority. If you act for a company, you confirm that you may enter into agreements on its behalf.
  • Updates. We may change these terms. If you keep using SynFi after material changes are published, we treat that as acceptance of the new version.

The service

What SynFi provides

SynFi provides software and tools for partnership co-financing: choosing a contract form, tracking stages, the order of revenue payouts, partner reporting, and an operations journal on the VirtuOZ platform.

  • Not a bank or broker. SynFi does not take retail deposits, offer savings products, or conduct securities brokerage. Payments and escrow run through EvoPay under the operator’s separate terms.
  • Not investment advice. Platform materials are informational. SynFi does not recommend joining any specific deal.
  • Process, not advice. SynFi helps run a deal under set rules and stores stage confirmations. It does not replace a lawyer, tax adviser, or investment adviser.

Eligibility

Who may use SynFi

Participant verification before cabinet access

Access usually requires a VirtuOZ account, identity verification (KYC) where applicable, and — for many partners — an invitation to a specific deal cabinet.

  • Jurisdiction. You must be allowed to use partnership-financing tools in your jurisdiction and for each deal’s contract form.
  • Sanctions and AML. We may refuse, suspend, or end access based on KYC/AML results or regulatory limits.
  • Accurate data. You must provide truthful data at registration, KYC, and project submission.

Accounts and security

Your responsibilities

  • Credential security. Keep your login, MFA devices, and API tokens confidential. You are responsible for activity under your account unless you report unauthorized access in time.
  • Shared identity. A VirtuOZ identity may grant access to SynFi and EvoPay — protect that access accordingly.
  • Notices. Keep a current email for service notices and cabinet notifications.

Deal contract priority

The terms of a specific deal are set by the contract, payout order, and stage plan in the cabinet. Those documents define economics and participant rights — not website copy.

Honest participation

The project owner submits truthful materials. The partner reviews them before taking on obligations. All parties help verify stages and respond to reconciliation requests.

Access by role

Do not enter sections, documents, or actions for which you have no role or invitation.

Action journal

Important configuration changes and significant participant actions are kept in a journal so they can be reviewed later.

Payments and escrow

EvoPay payments and funding

Partner contributions, escrow funding, and payouts may run through EvoPay LLP. SynFi determines when a stage allows a payout; EvoPay processes the payment under its rules and the operator’s obligations.

You must have the right to send and receive money through linked accounts. Fees, taxes, and withholdings are those shown in the deal cabinet.

Prohibited conduct

What you must not do

  • Use SynFi for illegal activity, fraud, money laundering, sanctions evasion, or misrepresentation to participants or regulators.
  • Present SynFi as a retail deposit, guaranteed return, or public securities offering contrary to the disclosures.
  • Probe, scrape, or attack platform systems; bypass access controls; interfere with other users’ cabinets.
  • Upload malware, infringing content, or third-party confidential data without permission.
  • Decompile or resell the platform except with the operator’s explicit written permission.

Intellectual property

Platform and deal content

SynFi software, branding, documentation, and marketing materials belong to VirtuOZ Group operators or licensors. You receive a limited non-exclusive licence to use the platform as intended while access is active.

You keep rights in deal content you upload, but you grant operators the rights needed to host, process, display, and export that content for cabinet operation, compliance, and review.

Disclaimers

No outcome guarantees

Escrow and payout outcomes depend on project results

The platform is provided “as is” and “as available” to the extent permitted by law. SynFi disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed.

Capital is at risk. Operating revenue, stage timing, and partner payouts depend on project results — see the risk disclosure. SynFi does not guarantee deal success, escrow payout timing, or any return.

Liability

Limitation of liability

To the fullest extent permitted by applicable law, VirtuOZ Group operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity from use of the platform — including project failure, counterparty default, or payment interruptions.

Aggregate liability for platform services may be limited to fees paid to operators for SynFi use in the twelve months before a claim, where such a cap applies. Mandatory consumer or investor protections in your jurisdiction may give non-waivable rights.

Suspension and termination

When access may end

We may suspend or end access to the platform or a cabinet for breach of these terms, KYC/AML results, regulatory requirements, unpaid disclosed fees, or a security risk — with notice where practicable. You may stop using SynFi at any time, but deal obligations and record retention may continue under contracts and law.

Governing law

Disputes and jurisdiction

These terms are governed by the law stated in the operator’s registration materials or master platform agreement, if any. Disputes on a specific deal may fall under the jurisdiction and dispute process of that deal’s contract. Write to synfi@virtuoz.io before escalating platform-access issues.
